1. Agreement to Terms

These Terms of Service (“Terms”) govern your use of services provided by Sunray Media Consultants (“we,” “our,” or “us”), a digital advertising and marketing agency based in Tamarac, Florida. By engaging our services or accessing our website at https://sunraymedia.biz, you agree to be bound by these Terms.

2. Services Provided

Sunray Media Consultants provides digital advertising management and marketing services including but not limited to:

• Paid social media advertising management (Meta/Facebook/Instagram)
• Google Ads campaign management including Search, Display, and YouTube campaigns
• Campaign performance reporting and analytics
• Creative strategy and ad copywriting
• Audience targeting and optimization
• Monthly performance reporting and strategic recommendations

3. Client Responsibilities

By engaging our services, you agree to:

• Provide accurate business information and grant necessary access to advertising accounts
• Maintain sufficient advertising budget in connected ad accounts
• Review and approve ad creatives and campaign strategies in a timely manner
• Notify us promptly of any changes to your business, products, or services that may affect advertising campaigns
• Comply with the terms of service of all advertising platforms including Meta and Google Ads
• Ensure all products, services, and claims in your advertising comply with applicable laws and platform policies

4. Account Access and Authorization

When you grant Sunray Media Consultants access to your advertising accounts, you authorize us to:

• Create, modify, pause, and manage advertising campaigns on your behalf
• Access performance data and reporting for the accounts you manage
• Make budget adjustments within agreed parameters
• Use our internal tools, including the Sunray Media MCP Server, to retrieve and analyze your campaign data

You may revoke account access at any time by notifying us in writing. Revoking access does not relieve you of payment obligations for services already rendered.

5. Fees and Payment

Service fees are outlined in your individual service agreement or proposal. General payment terms include:

• Monthly management fees are due on the first of each month
• Ad spend budgets are separate from management fees and are billed directly through advertising platforms
• Late payments may result in suspension of services
• Fees are non-refundable unless otherwise agreed in writing

6. Intellectual Property

Ad creatives, copy, strategies, and reports created by Sunray Media Consultants for your campaigns remain the property of the client upon full payment of fees. Our internal processes, tools, templates, and methodologies remain the property of Sunray Media Consultants.

7. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the course of the engagement. Sunray Media Consultants will not disclose your campaign data, business strategies, or account information to third parties except as necessary to provide our services or as required by law.

8. Performance and Results

Sunray Media Consultants will use professional expertise and best practices to manage your campaigns. However, we do not guarantee specific results, including but not limited to specific revenue, leads, conversions, or return on ad spend. Advertising performance is subject to market conditions, platform algorithm changes, and other factors outside our control.

9. Limitation of Liability

To the maximum extent permitted by law, Sunray Media Consultants shall not be liable for any indirect, incidental, special, or consequential damages arising from our services, including loss of revenue, loss of data, or business interruption. Our total liability shall not exceed the fees paid to us in the three months preceding the claim.

10. Termination

Either party may terminate the service engagement with 30 days written notice. Upon termination:

• All active campaigns will be paused
• Account access will be returned to the client
• Outstanding fees for services rendered will remain due
• Final reporting will be provided within 10 business days

11. Governing Law

These Terms are governed by the laws of the State of Florida, United States. Any disputes arising from these Terms or our services shall be resolved in the courts of Broward County, Florida.

12. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify active clients of material changes via email. Continued use of our services after changes constitutes acceptance of the updated Terms.
